Agreement to These Terms

These Terms of Service ('Terms') are an agreement between you and PennyOne ('PennyOne,' 'we,' 'us,' or 'our') and govern your access to and use of pennyone.app, PennyOne's applications, integrations, websites, subscriptions, support channels, and related services (collectively, the 'Service').

By creating an account, connecting an integration, starting a subscription, accessing the website, or using the Service, you agree to these Terms and to the Privacy Policy. If you do not agree, do not use the Service.

If you use the Service on behalf of an organization, employer, client, workspace, or other group, you represent that you have authority to bind that organization, workspace, or group, and 'you' includes it.

About PennyOne

PennyOne catches stalled conversations, scheduling issues, unanswered messages, buried commitments, and document workflows for founders, consultants, fractional executives, solo B2B operators, and relationship-driven teams.

The Service can inspect authorized context, prepare suggested replies, scheduling actions, document changes, meeting updates, reminders, and related workflow recommendations. PennyOne is designed so you can review, edit, approve, reject, snooze, or dismiss suggested actions before write actions are performed.

PennyOne supports workflows across connected services such as Gmail, Google Calendar, Google Meet through Calendar conference data, Google Docs, Google Drive metadata, Zoom, Slack, Linear, Notion, and other services we may add or modify over time.

Eligibility and Accounts

You must be at least 18 years old and legally able to enter into these Terms to use the Service.

You are responsible for the accuracy of account information, for maintaining the confidentiality of your credentials, and for all activity under your account except to the extent caused by PennyOne's breach of these Terms.

You must promptly notify support@pennyone.app if you believe your account, workspace, credentials, API keys, OAuth tokens, or connected services have been compromised.

We may require authentication, email verification, identity verification, admin approval, workspace authorization, or other checks before enabling certain features.

Connected Services and Permissions

You are responsible for the accounts, workspaces, calendars, documents, messages, contacts, files, subscriptions, and third-party services you connect to PennyOne.

By connecting a third-party service, you authorize PennyOne to access, process, store, and act on information from that service as needed to provide the Service and as described in the Privacy Policy.

Third-party services are governed by their own terms, policies, account permissions, rate limits, security requirements, and availability. PennyOne is not responsible for third-party services, and a third-party change may affect the Service.

You may disconnect integrations when you no longer want PennyOne to access them. Disconnection may limit or disable features that depend on that integration and may not delete historical records already retained under the Privacy Policy.

Approval-Gated Actions

PennyOne may prepare draft emails, draft replies, calendar changes, meeting changes, document edits, task updates, and other suggested actions for your review.

You are responsible for reviewing suggested actions before approval. You should confirm recipients, content, dates, times, time zones, attachments, permissions, legal implications, and business context before approving any action.

Once you approve an action, PennyOne may send, schedule, create, update, delete, or otherwise perform the approved action through the relevant connected service. You are responsible for actions you approve.

PennyOne is designed to support your judgment, not replace it. We do not guarantee that every suggestion will be accurate, complete, timely, appropriate, or error-free.

Acceptable Use

You may use the Service only for lawful business and personal productivity purposes and in compliance with these Terms, applicable law, third-party terms, and workspace policies that apply to you.

You may not use the Service to send spam, phishing, deceptive, abusive, harassing, discriminatory, defamatory, infringing, unauthorized, unlawful, or harmful communications.

You may not use the Service to violate privacy rights, scrape or exfiltrate data without permission, impersonate others, misrepresent approvals, bypass security controls, interfere with service operation, overload systems, distribute malware, or attempt unauthorized access.

You may not reverse engineer the Service except where law prohibits that restriction, resell the Service without permission, remove proprietary notices, use the Service to build a competing product, or use automated means to abuse, probe, or extract the Service.

You may not use the Service for high-risk activities where failure could lead to death, personal injury, property damage, environmental damage, or other situations requiring fail-safe performance.

User Content and License

'User Content' means content, data, messages, documents, files, prompts, instructions, preferences, feedback, approvals, integration data, and other information you provide to or make available through the Service.

You retain ownership of your User Content. You grant PennyOne a limited, worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, display, create derivative operational outputs from, and otherwise use User Content as needed to provide, secure, support, maintain, and improve the Service.

You represent that you have the rights and permissions needed to provide User Content to PennyOne and to authorize PennyOne to process it through connected services and subprocessors.

We may remove, restrict, or refuse to process User Content if we believe it violates these Terms, applicable law, third-party rights, integration requirements, or security policies.

AI Outputs

The Service may generate summaries, classifications, drafts, recommendations, suggested actions, document edits, calendar proposals, and other AI outputs based on User Content and connected-service context.

AI outputs can be inaccurate, incomplete, outdated, offensive, or unsuitable for your circumstances. You are responsible for evaluating outputs and deciding whether to rely on, edit, approve, send, or discard them.

PennyOne does not provide legal, medical, financial, tax, employment, compliance, or other professional advice. You should consult qualified professionals for decisions requiring professional judgment.

Similar inputs from different users may produce similar outputs. Subject to these Terms and applicable law, you may use outputs generated for you through the Service, but PennyOne and its licensors retain ownership of the Service, models, systems, prompts, tools, and underlying technology.

Plans, Billing, and Subscription Terms

Some features are free, and others require a paid plan. Plan names, prices, limits, features, model access, usage caps, memory limits, history retention, and availability are shown in the product or on the pricing page and may change over time.

Paid subscriptions are billed through Stripe or another payment provider we designate. By starting a paid subscription, you authorize recurring charges for the selected plan, billing interval, applicable taxes, and permitted usage-based or add-on charges disclosed at checkout or in the product.

You are responsible for keeping billing information current. If payment fails, we may retry payment, suspend or limit paid features, downgrade your account, or terminate the subscription.

You can cancel a paid subscription through the billing portal, product settings, or support channel we provide. Cancellation usually takes effect at the end of the current billing period unless the product or checkout flow says otherwise.

Fees are non-refundable except where required by law or expressly stated in a separate written agreement, checkout disclosure, or product policy. Taxes, foreign exchange fees, bank fees, and payment-provider fees may apply.

Usage Limits and Fair Use

PennyOne may enforce plan limits, rate limits, token limits, attachment limits, proactive-event limits, memory limits, history retention limits, storage limits, and other technical or commercial controls.

We may throttle, reject, delay, or disable requests that exceed limits, appear abusive, threaten service reliability, violate third-party rate limits, create excessive cost, or present security risk.

Limits may differ by plan, feature, model, integration, workspace, beta program, geography, or account status. We may update limits to protect reliability, security, cost sustainability, and third-party compliance.

Privacy and Security

The Privacy Policy explains how PennyOne collects, uses, shares, retains, and protects personal information and connected workspace data. You should review it before using the Service or connecting third-party services.

You are responsible for configuring appropriate permissions in connected services, obtaining required consent from people whose information you process through PennyOne, and using the Service in a way that complies with privacy, employment, communications, and data protection laws that apply to you.

PennyOne uses safeguards designed to protect the Service, but no system is completely secure. You are responsible for promptly reporting suspected security issues and for avoiding unsafe use of sensitive data.

Intellectual Property and Feedback

PennyOne and its licensors own the Service, including software, interfaces, designs, workflows, prompts, models, tools, documentation, trademarks, logos, and all related intellectual-property rights.

These Terms do not grant you ownership of PennyOne technology or any right to use PennyOne names, marks, logos, or branding except as necessary to use the Service as permitted.

If you provide feedback, ideas, suggestions, or improvements, you grant PennyOne a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction or compensation.

Service Changes and Availability

PennyOne may add, remove, suspend, limit, rename, modify, or discontinue parts of the Service as the product evolves, including integrations, models, tools, plans, limits, and beta features.

We work to keep the Service available and reliable, but we do not guarantee uninterrupted, secure, timely, or error-free operation. The Service may be affected by maintenance, incidents, provider outages, third-party changes, network issues, security events, or force majeure events.

Beta, preview, experimental, or early-access features may be changed, limited, or discontinued at any time and may be less reliable than generally available features.

Suspension and Termination

You may stop using PennyOne at any time and may cancel your subscription or request account deletion through available settings or by contacting support@pennyone.app.

We may suspend, limit, or terminate access if we reasonably believe you violated these Terms, created legal or security risk, failed to pay fees, abused the Service, violated third-party terms, or used the Service in a way that could harm PennyOne, users, third parties, or connected services.

After termination, your right to use the Service ends. We may retain or delete information according to the Privacy Policy, legal obligations, backup practices, billing records, security needs, and legitimate business purposes.

Disclaimers

To the maximum extent permitted by law, the Service is provided 'as is' and 'as available' without warranties of any kind, whether express, implied, statutory, or otherwise.

PennyOne disclaims warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, reliability, and error-free operation.

We do not warrant that the Service will identify every important message, prevent every missed follow-up, avoid every scheduling conflict, produce accurate AI outputs, or satisfy your legal, business, compliance, or professional obligations.

Limitation of Liability

To the maximum extent permitted by law, PennyOne and the people and service providers involved in providing the Service will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, lost goodwill, business interruption, or substitute services.

To the maximum extent permitted by law, PennyOne's total liability for all claims relating to the Service or these Terms will not exceed the greater of the amount you paid to PennyOne for the Service in the three months before the event giving rise to the claim or 100 U.S. dollars.

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you. In those jurisdictions, liability is limited to the maximum extent permitted by law.

Indemnity

To the maximum extent permitted by law, you will defend, indemnify, and hold harmless PennyOne and the people and service providers involved in providing the Service from claims, damages, liabilities, losses, costs, and expenses arising from your User Content, approved actions, use of the Service, violation of these Terms, violation of law, violation of third-party rights, or misuse of connected services.

Disputes and Legal Terms

Before filing a claim, you and PennyOne agree to try to resolve disputes informally by emailing support@pennyone.app with a description of the issue and the relief requested.

These Terms do not limit rights that cannot be waived under applicable law. Unless a separate written agreement says otherwise, disputes will be handled under applicable law by a forum with authority to resolve them.

If any provision of these Terms is unenforceable, the remaining provisions remain in effect. PennyOne's failure to enforce a provision is not a waiver. You may not assign these Terms without our consent, and we may assign them as part of a merger, acquisition, restructuring, or sale of assets.

Changes to These Terms

We may update these Terms from time to time. The 'Last updated' date above reflects the latest version.

If we make material changes, we will provide notice when required by law or when the changes materially affect your rights or obligations. Your continued use of the Service after updated Terms become effective means you accept the updated Terms.
